Welcome to Makuta ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website design and management services (the "Services"). By engaging us, you ("Client," "you," or "your") agree to these Terms.
Services Provided
1.1 We provide custom website design and subscription-based management.
1.2 Management includes basic updates, uptime monitoring, security checks, and minor content edits.
1.3 Major redesigns, new features, or additional functionality are not included and may be subject to seperate fees.
Pricing and Payment
2.1 All pricing is determined on a per-project basis and may vary depending on the scope, size, and complexity of the site.
2.2 Subscription fees are billed monthly. By subscribing, you agree to automatic recurring billing until canceled in accordance with Section 5.
2.3 The first year includes both design and management. After the first year, fees may reduce to cover ongoing management only.
2.4 Certain third-party platform fees (such as Framer, hosting, plugins, or other required tools) may be billed separately from our subscription fees. Where applicable, these costs will be disclosed in advance and are the responsibility of the Client.
2.5 You agree to pay all applicable fees on time. Late or failed payments may result in suspension or termination of your website.
2.6 We reserve the right to adjust pricing for future services with reasonable notice.
Ownership and Intellectual Property
3.1 All websites remain the property of Makuta until the Client has completed a full 12 months of subscription payments.
3.2 After 12 months, full ownership of the website (excluding third-party tools, templates, or software licenses) is transferred to the Client.
3.3 Domain names are not included unless expressly agreed upon. The Client is responsible for registering and renewing their own domain.
Client Responsibilities
4.1 You must provide accurate information, branding materials, and content in a timely manner. Delays in providing materials may affect delivery timelines.
4.2 You are responsible for maintaining compliance with all applicable laws regarding the content and operation of your website.
4.3 You agree not to upload or request the inclusion of illegal, harmful, or infringing content.
Term, Renewal, and Cancellation
5.1 Clients are required to subscribe for a minimum of 12 months. Early cancellation does not relieve the Client of their obligation to pay the full 12 months.
5.2 After the initial 12-month term, subscriptions automatically renew on a month-to-month basis for ongoing management.
5.3 You may cancel after the 12-month term by providing 30 days' written notice.
Limitation of Liability
6.1 Makuta is not liable for:
Downtime or outages caused by third-party platforms, hosting providers, or internet service interruptions.
Loss of data due to Client error, hacking, or failure of third-party services.
Indirect, incidental, or consequential damages, including lost profits or business opportunities.
6.2 Our total liability under this agreement will not exceed the total amount paid by the Client in the 12 months preceding the claim.
Third-Party Services
7.1 We may use third-party platforms (e.g., Framer, hosting services) to deliver your website.
7.2 The Client agrees to comply with all third-party terms, and acknowledges we are not responsible for failures, breaches, or pricing changes by those providers.
Changes to Terms
We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
